Our Advisor was an influential member of the integrated project team throughout the procurement process and ensured that the O&M Contractor was procured within the required tight timeframe of 9 months to enable it to provide important operational input into the D&C design process.

Key early successes associated with the services provided by our Transaction Advisors include:

  • effective and responsive leadership throughout the transaction
  • identification and articulation of key O&M objectives
  • coordination of the integrated project team
  • rapid resolution of various technical and commercial issues
  • interfacing with Roads and Maritime Services (RMS) and other stakeholders on behalf of the Sydney Motorway Corporation (SMC), and
  • overall accountability for the outcomes of the transaction. 

WestConnex is one of Australia’s largest road projects, linking Sydney’s west and south-west with the city, airport and port in a 33 km continuous motorway, including more than 20 km of tunnel— Australia’s longest road tunnel.

WestConnex is comprised of three stages:

  • WestConnex M4, which includes the M4 West and
    M4 East projects, extending from the existing M4 at Church St, Parramatta to the eastern end of the new M4 East tunnel at Haberfield
  • WestConnex M5, which includes the New M5, St Peters Interchange and the existing M5 East, and
  • WestConnex M4-M5 Link, which includes a tunnel linking the WestConnex M4 and M5 and interchanges at Rozelle and Camperdown.

The WestConnex O&M Contractor was engaged to provide pre-operational services to the project, including input into the design of the scheme and participation in the operational readiness procedures, followed by the operation and maintenance of WestConnex M4 and M5 over a term of 10 years (inclusive of the pre-operations phase).

Our Advisor was the Contract Manager/ Transaction Manager for the procurement of the O&M Contractor for this iconic project. Services delivered by our Advisor included:

  • overall transaction management / leadership and coordination of the client O&M team
  • establishment and management of the risk management process for the O&M contract
  • participation in the development of O&M objectives, WestConnex O&M strategy and commercial principles
  • development of Expression of Interest (EOI) and Request for Tender (RFT) documentation
  • development of O&M scope and technical requirements
  • development of the O&M Contractor’s obligations with respect to the Scope of Works and Technical Criteria (SWTC) and planning approvals
  • evaluation of EOI submissions and management of the evaluation of the tender submissions, and
  • negotiations and conforming of the preferred tenderers solution.

Our Advisor coordinated inputs from the project team, including O&M advisors (e.g. SWTC development) and legal advisors (e.g. deeds schedules). In addition, our Advisor managed the interfaces between the O&M contract and other parties, including D&C and tolling contracts, and supported the risk process throughout the procurement phase in conjunction with SMC.

The development of technical and commercial requirements for WestConnex M4 & M5 O&M was complex, and required detailed consideration of the integrated operational requirements for what will be one of the longest road tunnels in the world, which is to be operated and maintained by a single O&M Contractor, under three separate contracts, which were drafted to suit the separate concession ownership of each of the three stages of WestConnex.
